Achievers Platform Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of Achievers’ software, websites and mobile applications (collectively, the “Platform”) and other online and offline products and services (collectively, the “Services”) that Achievers provides to your employer (or the party who is providing you access to the Platform) (“Employer”), pursuant to an agreement made between your Employer and the Achievers legal entity that entered into an such agreement (“Achievers,” “we,” “our,” or “us”).

You acknowledge that you are being granted access to the Platform and Services by your Employer for your Employer’s business purposes. Please see the Platform Privacy Notice for details on how your personal data is protected when using the Platform.

In connection with your access to, or use of, the Platform and Services, you may have the opportunity to upload to the Platform certain information, data, text, music, sound, photographs, graphics, video, messages, or other materials (“Content”). You may upload Content provided that it complies with these Terms and your Employer’s codes of conduct and policies. Achievers may remove or delete Content where your Employer deems necessary. You are responsible for ensuring the Content you submit on the Platform adheres to these Terms and your Employer’s codes of conduct and policies.

Non-permitted Use

You must not upload to the Platform or otherwise distribute any Content that:

  • is contrary to the codes of conduct, policies and procedures of your Employer
  • is defamatory, abusive, harassing, threatening, or an invasion of a right of privacy of another person; is bigoted, hateful, or racially or otherwise offensive; is violent, vulgar, obscene, pornographic or otherwise sexually explicit; or otherwise harms or can reasonably be expected to harm any person or entity;
  • is illegal or encourages or advocates illegal activity or the discussion of illegal activities with the intent to commit them, including a submission that is, or represents an attempt to engage in, child sexual abuse material, stalking, sexual assault, fraud, trafficking in obscene or stolen material, drug dealing and/or drug abuse, harassment, theft, or conspiracy to commit any criminal activity;
  • infringes or violates any right of a third party including any copyright, patent, trademark, trade secret or other proprietary or contractual rights, right of privacy or publicity, or any confidentiality obligation;
  • is commercial, business-related or advertises or offers to sell any products, services or otherwise (whether or not for profit), or solicits others (including solicitations for contributions or donations);
  • contains a virus or other harmful component, or otherwise tampers with, impairs or damages the Platform or any connected network, or otherwise interferes with any person or entity's use or enjoyment of the Platform;
  • does not generally pertain to the designated topic or theme of the Platform;
  • violates any specific restrictions applicable to a public forum, including its age restrictions and procedures; or
  • is antisocial, disruptive, or destructive, including “spamming” or “trolling” as those terms are commonly understood and used on the Internet.

Further must not directly or indirectly:

  • copy or attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the software, information, or content contained on the Platform and/or Services (as applicable) in any form or media or by any means;
  • tamper with the security of the Platform or other user accounts;
  • attempt to probe, scan or test the vulnerability of the Platform, breach the security or authentication measures of the Platform without proper authorization, or willfully render any part of the Platform unusable;
  • access data on the Platform not intended for your use or log into a server or account on the Platform that you are not authorized to access;
  • attempt to reverse compile, decompile, disassemble, reverse engineer or otherwise reduce to human- perceivable form all or any part of the software contained on the Platform, including for the purpose of building a competitive service;
  • grant access, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or make the Services available to any third party;
  • build a product or service using similar ideas, features, functions or graphics of the Platform or Services, or otherwise copy any ideas, features, functions or graphics of the Services;
  • allow any unauthorized access to, or use of, the Platform or Services and, in the event of any such unauthorized access or use, promptly notify your Human Resources contact within your Employer; or
  • distribute, facilitate, enable or allow access or linking to the Platform in any manner deemed by your Employer and/or Achievers to be objectionable or harmful to the business, name, and reputation of your Employer and/or Achievers.

Your Employer may suspend or terminate your access to and use of the Platform and the Services, at any time, without notice, including but not limited to (a) if you breach of any of these Terms, or if you breach any of your Employer’s codes of conduct, policies and/or guidelines; (b) if your Employer believes that your conduct when using the Platform and/or Services is harmful to other users of the Platform or the Services, or the business of your Employer and/or Achievers; (c) if you are no longer employed or engaged by your Employer; or (d) if your Employer’s contractual relationship with Achievers is terminated or expires.

Reporting

You may produce certain reports using the Services. All reports produced from the Platform are for you or your Employer’s informational purposes only.

Regional Services

Achievers may publish information containing references to Achievers’ products, programs and services that are not announced or available in your country. Such references do not imply that Achievers intends to announce such products, programs, or services in your country. Consult your Employer’s Human Resources contact for information regarding the products, programs and services which may be available to you.

Points and Reward Redemptions

Any Points that are made available to you by your Employer are without cash value and cannot be redeemed in any way for cash equivalent (except where specifically configured for your Employer’s rewards program and as agreed upon between your Employer and Achievers). Points earned are subject to the terms and conditions of the rewards program as agreed upon between your Employer and Achievers and may change without notice to you. Please contact your Employer’s Human Resources contact if you have any questions on Point allocation as part of this rewards program.

Intellectual Property

Achievers expressly retains all ownership rights, title and interest in and to all aspects of the Services and the Platform, including, but not limited to, all current and future patents, copyrights, trademarks, trade secrets, know-how, and other proprietary rights included or embodied in the Platform. All third-party products or services referenced on the Platform, including, but not limited to, the products and services in the rewards catalog are the trademarks or service marks of their respective owners.

Third-Party Sites

The Platform and/or Services may make third-party software, hyperlinks, and other products available to you. Your use of such third-party services or products is subject to the respective terms and conditions of the third-party for such services or products, and the agreement for your use will be between you and such third-party. Achievers makes no warranty or representations whatsoever about the products or services of any third party, which you may access through the Platform and the Services. When you access a non-Achievers service, please understand that it is independent from Achievers and that Achievers has no control over the content on that service or product. In addition, a link to a non-Achievers service does not mean that Achievers endorses or accepts any responsibility for the content, or the use, of such service or product.

Any issues or disputes should be brought to the attention of your Employer’s Human Resources contact. Achievers is not directly liable to you for your use of the Platform and/or Services. You hereby agree not to make any claim against Achievers for any action, inaction or decision taken by your employer.

Updates to these Terms of Use

Achievers may modify these Terms at any time. Modifications become effective immediately upon your first access to or use of the Platform or the Services after the “Last Revised” date at the top of these Terms. Your continued access to or use of the Platform or the Services after the modifications have become effective will be deemed your conclusive acceptance of the modified Terms. If you do not agree with the modifications, please contact your Human Resources contact within your Employer and refrain from accessing the Platform and Services.
